Terms of Service

Terms governing your use of Pars

1. Acceptance of terms

By accessing or using the Pars Cloud platform, website, or any related services (collectively, "the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree to these terms, please do not use the Service.

2. Description of service

Pars Cloud provides a company operating system for AI-era teams. The Service includes tools for building Company Memory, creating AI-powered Skills, and managing organizational communication through the Hub. Features and functionality may evolve over time.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Accounts and access

To use the Pars platform, you or your organization must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate, current information and to notify us promptly of any unauthorized use of your account. Pars Cloud is not liable for any loss resulting from unauthorized account access.

4. Your content and data

You retain ownership of all content and data you input into Pars, including operational knowledge, workflow configurations, and communications ("Your Content"). You grant Pars Cloud a limited license to process Your Content solely to provide the Service.

You are responsible for ensuring that Your Content does not violate applicable laws or third-party rights. Pars Cloud does not use Your Content to train AI models or share it with third parties outside of what is necessary to deliver the Service.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reproduce, resell, or sublicense the Service without written permission from Pars Cloud.

6. Intellectual property

The Pars Cloud platform, including its software, design, branding, and underlying technology, is owned by Pars Cloud and protected by intellectual property laws. These terms do not grant you any rights to use our trademarks, logos, or proprietary technology outside of using the Service as intended.

7. Payment and billing

Certain features of the Service require payment. Pricing, billing cycles, and payment terms will be presented at the time of subscription. All fees are exclusive of applicable taxes. You authorize us to charge your payment method on the schedule you select.

If payment fails, access to paid features may be suspended until payment is resolved.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only as necessary to fulfill obligations under these terms. This obligation does not apply to information that becomes publicly known through no fault of the receiving party.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of liability

To the maximum extent permitted by law, Pars Cloud will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from these terms or the Service will not exceed the amount you paid to us in the twelve months preceding the claim.

11. Termination

Either party may terminate use of the Service at any time. We may suspend or terminate your access if you violate these terms or if we determine that continued access poses a risk to the Service or other users.

Upon termination, you may request an export of Your Content within 30 days. After that period, we may delete Your Content from our systems.

12. Governing law

These terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising from these terms will be resolved in the courts of New Jersey.

13. Changes to these terms

We may update these Terms of Service periodically. When we make material changes, we will update the date at the top of this page and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
